These Terms of Service (“Terms”) govern access to and use of Hive (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
1. About Hive
Hive is a SaaS platform that enables organisations to collect structured feedback, facilitate proposals, conduct voting processes, and manage community or governance workflows.
Hive provides infrastructure only. We do not participate in, validate, or take responsibility for organisational decisions made using the platform.
2. Eligibility
You must:
- Be at least 16 years old
- Have authority to enter into a binding agreement
- Provide accurate registration information
We may suspend or terminate accounts that violate these Terms.
3. Accounts and Security
You are responsible for:
- Maintaining the confidentiality of login credentials
- All activity occurring under your account
- Ensuring authorised use within your organisation
You must notify us immediately of any unauthorised access.
We may suspend access where necessary to protect system integrity or prevent misuse.
4. Subscription and Payment
4.1 Paid Plans
Access to certain features requires a paid subscription.
By subscribing, you agree to:
- Pay all applicable fees
- Provide accurate billing information
- Authorise recurring payments where applicable
Fees are exclusive of VAT or other applicable taxes.
4.2 Renewals
Subscriptions renew automatically unless cancelled before the renewal date.
4.3 Refunds
Unless required by law, subscription fees are non-refundable.
5. Acceptable Use
You agree not to:
- Use Hive for unlawful purposes
- Upload or distribute illegal, harmful, or infringing content
- Attempt to gain unauthorised access to the platform
- Interfere with system integrity or security
- Reverse engineer or attempt to extract source code
- Use Hive to conduct fraudulent governance or misrepresent voting outcomes
We reserve the right to suspend or terminate accounts that violate these provisions.
6. Customer Data
6.1 Ownership
Customers retain ownership of all data submitted to Hive (“Customer Data”).
Hive does not claim ownership of:
- Proposals
- Votes
- Comments
- Governance records
- Organisational configurations
6.2 Licence to Process
You grant Hive a limited licence to host, store, process, and transmit Customer Data solely to provide the Service.
6.3 Responsibility
Customers are solely responsible for:
- The legality of Customer Data
- Ensuring appropriate lawful basis under GDPR
- Providing required privacy notices to members
- Ensuring voting and governance compliance within their jurisdiction
Hive does not validate or verify the legitimacy of governance processes conducted using the platform.
7. Data Protection
Hive processes personal data in accordance with:
- UK GDPR
- EU GDPR
- Data Protection Act 2018
Where Hive processes personal data on behalf of customers, a Data Processing Agreement (DPA) applies in accordance with Article 28 GDPR.

8. Confidentiality
We will not access or disclose Customer Data except:
- As necessary to provide the Service
- To comply with legal obligations
- At the customer’s direction
This does not apply to information that:
- Is publicly available
- Was lawfully obtained from a third party
- Is independently developed
9. Intellectual Property
Hive retains all rights, title, and interest in:
- The platform software
- Underlying code and architecture
- Design, branding, and trademarks
- Documentation and proprietary materials
These Terms do not grant ownership of Hive’s intellectual property.
You may not:
- Copy, modify, or create derivative works
- Resell or sublicense the Service without written consent
10. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access.
We may:
- Modify features
- Perform maintenance
- Suspend access temporarily
We are not liable for downtime caused by:
- Force majeure events
- Internet service disruptions
- Third-party infrastructure failures
11. Beta Features
If you use beta or experimental features:
- They are provided “as is”
- They may change or be removed
- They may contain errors
Use is at your own risk.
12. Termination
12.1 By You
You may terminate your subscription in accordance with your billing terms.
12.2 By Us
We may suspend or terminate access if:
- You breach these Terms
- Required by law
- Continued use poses security or legal risk
12.3 Effect of Termination
Upon termination:
- Access to the Service ceases
- Customer Data may be deleted after a reasonable retention period
- Outstanding fees remain payable
You are responsible for exporting data prior to termination.
13. Disclaimers
Hive is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we disclaim:
- Warranties of fitness for a particular purpose
- Non-infringement
- Continuous availability
- Accuracy of governance outcomes
Hive does not guarantee that voting or decision processes will meet legal or regulatory standards in your jurisdiction.
14. Limitation of Liability
To the maximum extent permitted by law:
- Hive’s total liability arising out of or relating to the Service shall not exceed the total fees paid by the customer in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or special damages.
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under UK or EU law
15. Indemnification
You agree to indemnify and hold Hive harmless against claims arising from:
- Your use of the Service
- Breach of these Terms
- Violation of applicable laws
- Governance disputes within your organisation
16. Governing Law
If your company is registered in the United Kingdom:
These Terms are governed by the laws of England and Wales.
Courts of England and Wales shall have exclusive jurisdiction unless mandatory EU consumer protections apply.
If required for EU customers, local mandatory consumer protections remain unaffected.
17. Changes to These Terms
We may update these Terms from time to time.
If changes are material, we will provide reasonable notice.
Continued use of the Service after updates constitutes acceptance of the revised Terms.
